These Terms and Conditions ("Terms") govern your use of the MentoraX website (mentorax.io) and any services provided by SkillNet LLC ("we," "us," "our," or "MentoraX"). By accessing this website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
MentoraX is a brand of SkillNet LLC, a limited liability company registered in Sheridan, Wyoming, USA. All contracts, invoices, and legal obligations are issued by and enforceable against SkillNet LLC.
This website is provided for informational purposes. You may use it to learn about MentoraX products and services, download free resources, and contact us. You may not:
MentoraX may provide certain materials at no cost, including but not limited to the AI Readiness Blueprint, Time Audit Template, and similar resources ("Free Resources"). Free Resources are provided on an "as-is" basis for informational purposes only. Revenue projections and estimates generated by these tools are based on user-provided inputs and are illustrative only. Actual results vary. MentoraX makes no representations or warranties regarding the accuracy, completeness, or outcomes associated with their use.
MentoraX provides advisory, design, implementation, and operational support services for law firms ("Services"). Services include, but are not limited to: Practice OS (system design engagement), Practice OS: Infrastructure (fixed-scope implementation project), The $50K Recovery™ (implementation layer engagement), StarFlow (subscription-based service), and OmniCast (subscription-based service). Services may also include related consulting, system design, automation development, documentation, training, and ongoing support. MentoraX reserves the right to modify, expand, or discontinue Services at any time. Any new or modified services will be governed by these Terms unless otherwise stated in a separate written agreement. In case of conflict, a specific service agreement takes precedence over these Terms.
Payments: All fees are stated in US Dollars. Payment terms are specified in the applicable service agreement. Late payments may incur interest at 1.5% per month. By purchasing or engaging any paid Service, the client expressly agrees to these Terms. You agree to these Terms at the time of purchase, whether via checkout, invoice, or written confirmation.
Subscription Services (StarFlow, OmniCast) are billed on a recurring basis and may be canceled in accordance with the cancellation terms specified at the time of purchase. Fees already paid are non-refundable unless otherwise stated.
Project-Based Services (Practice OS, Practice OS: Infrastructure, The $50K Recovery™) are fixed-scope or milestone-based engagements. Unless otherwise expressly stated in writing, all fees for project-based Services are non-refundable once work has commenced. Cancellation of a project-based Service does not relieve the client of payment obligations for work performed or reserved capacity.

Upon full payment of all applicable fees, the client is granted ownership of all firm-specific deliverables created as part of the Services. Firm-specific deliverables include custom-configured systems and automations, workflows implemented specifically for the client's firm, firm-specific standard operating procedures (SOPs), and documentation unique to the client's operations.
MentoraX retains all rights, title, and interest in and to its underlying materials, including but not limited to: frameworks, templates, methodologies, system architectures, generalized workflows, and reusable logic, structures, and designs. To the extent any MentoraX underlying materials are incorporated into client deliverables, MentoraX grants the client a non-exclusive, perpetual license to use such materials solely as embedded within the delivered work product. Nothing in these Terms transfers ownership of MentoraX's underlying materials or grants the client the right to extract, reuse, resell, or distribute such materials independent of the delivered work product.
Website content, brand assets, and product descriptions on mentorax.io are owned by SkillNet LLC and may not be reproduced without permission.
MentoraX agrees to treat all non-public client information disclosed during the course of an engagement as confidential and to use such information solely for the purpose of delivering Services. This obligation does not apply to information that is publicly available or independently developed without use of client data.
MentoraX services are provided "as is" and "as available." We make no warranties, express or implied, regarding the fitness of our services for any particular purpose, or that our services will be uninterrupted or error-free. Revenue projections and ROI estimates are illustrative — we do not guarantee specific financial outcomes.
MentoraX is not a law firm and does not provide legal, compliance, or ethics advice. Clients are responsible for ensuring their use of any MentoraX system complies with applicable rules of professional conduct in their jurisdiction.
To the maximum extent permitted by law, SkillNet LLC's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by the client to SkillNet LLC for the applicable Service giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration conducted in the State of Wyoming, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted remotely or in a location determined by the arbitrator.
The parties agree to waive any right to a jury trial or to participate in a class action. Each party shall bear its own legal fees unless otherwise required by law. Judgment on the arbitration award may be entered in any court of competent jurisdiction. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
We may update these Terms periodically. The "last updated" date reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
